1. Definitions and Platform Role
1.1 Definitions
For purposes of these Terms of Service (“Terms”):
“Platform” Practice for a Purpose (“PFP”), the web-based service that enables users to create and support fundraising campaigns.
“User” Any individual who accesses or uses the Platform, including Campaign Owners and Donors.
“Campaign Owner” A registered user who creates and manages a fundraising campaign on the Platform.
“Campaign” A fundraising page created by a Campaign Owner for the purpose of receiving voluntary financial contributions.
“Donor” Any individual who contributes funds to a Campaign. Donors are not required to create an account on the Platform.
“Donation” A voluntary payment made by a Donor to support a Campaign.
“Platform Fee” The fee charged by PFP for use of the Platform. The Platform Fee may vary by Campaign, including promotional or discounted rates.
“Payment Processor” Stripe or any successor third-party provider used to process payments, transfers, and payouts.
“Transfer” The movement of funds from the Platform’s payment account to a Campaign Owner’s connected account with the Payment Processor.
“Payout” The disbursement of funds from a Campaign Owner’s connected payment account to their designated bank account, as controlled by the Payment Processor.
“Eligible Funds” Funds that are available for transfer after accounting for fees, refunds, disputes, payment processing requirements, and any other adjustments required by the Platform or Payment Processor.
1.2 Platform Role
PFP provides a technology platform that enables Campaign Owners to create fundraising campaigns and allows Donors to contribute funds to those campaigns.
PFP:
- is not a bank, financial institution, or payment processor;
- does not hold funds on behalf of users; and
- does not take ownership of Donations.
All payment processing, fund holding, transfers, and payouts are performed by the Payment Processor.
PFP’s role is limited to:
- facilitating the creation and display of Campaigns;
- enabling Donation transactions through the Payment Processor; and
- coordinating the transfer of Eligible Funds to Campaign Owners.
1.3 Nature of Donations
Donations made through the Platform:
- are voluntary contributions made directly to Campaign Owners;
- are not charitable donations and are not tax-deductible; and
- do not create any obligation on the part of the Campaign Owner to provide goods, services, or outcomes.
PFP does not guarantee:
- the success of any Campaign;
- the use of funds by a Campaign Owner; or
- the accuracy or completeness of Campaign content.
Donors are solely responsible for evaluating whether to support a Campaign.
1.4 Relationship Between Parties
PFP is not a party to any transaction between Donors and Campaign Owners.
All Donations are made from Donors to Campaign Owners, processed by the Payment Processor, and subject to the Payment Processor’s terms and policies.
PFP disclaims responsibility for:
- interactions between Users;
- disputes between Donors and Campaign Owners; and
- fulfillment of any expectations related to a Campaign.
1.5 Payment Processing
By using the Platform, Users agree that all payment-related activity is subject to the terms and policies of the Payment Processor, including those of Stripe.
PFP does not control:
- payment authorization or settlement;
- transfer timing;
- payout timing; or
- payment reversals, disputes, or chargebacks.
All such matters are handled by the Payment Processor.
2. Fees, Donations, Refunds, and Financial Terms
2.1 Fees
Use of the Platform is subject to applicable fees, including:
- a Platform Fee, determined by PFP and applied to Donations received through a Campaign; and
- payment processing fees charged by the Payment Processor, including those of Stripe.
The Platform Fee:
- is configurable and may vary by Campaign;
- may be reduced or waived for certain promotions, including founder or invitation-based promotions; and
- is disclosed at or before the time a Campaign is created.
Payment processing fees:
- are determined by the Payment Processor;
- may vary based on transaction characteristics; and
- are outside the control of PFP.
PFP reserves the right to modify Platform Fees at any time for future Campaigns. Any changes will not retroactively apply to Donations already processed.
2.2 Donations
All Donations made through the Platform:
- are processed by the Payment Processor;
- are subject to successful payment authorization and settlement; and
- may be subject to verification, fraud prevention measures, or compliance requirements.
A Donation is not considered final until:
- payment has been successfully processed; and
- the transaction is not subject to reversal, dispute, or other limitation imposed by the Payment Processor.
2.3 No Refund Policy
All Donations are final and non-refundable.
PFP does not provide refunds to Donors for any reason, including but not limited to:
- dissatisfaction with a Campaign;
- changes to a Campaign after a Donation is made; or
- failure of a Campaign to achieve its stated goals.
Notwithstanding the foregoing:
- PFP reserves the right, in its sole discretion, to issue refunds in exceptional circumstances; and
- refunds may be required or initiated due to Payment Processor rules, legal requirements, or dispute outcomes.
2.4 Promotions and Fee Adjustments
PFP may offer promotions that affect Platform Fees, including reduced or waived fees for certain users or Campaigns.
Promotions:
- may be limited in duration, scope, or eligibility;
- may apply only to specific Campaigns or users; and
- may be revoked or modified at any time prior to use.
Once a Campaign is created with a specific Platform Fee, that fee will apply to Donations made to that Campaign unless otherwise stated.
2.5 Eligible Funds
Only Eligible Funds may be transferred to a Campaign Owner.
Eligible Funds are determined by PFP and may be adjusted to account for:
- Platform Fees and payment processing fees;
- refunds;
- disputes or chargebacks;
- payment processing requirements or delays;
- reconciliation adjustments or corrections; and
- any other factors affecting the availability of funds.
As a result:
- the amount ultimately transferred to a Campaign Owner may be less than the total amount of Donations received; and
- the amount of Eligible Funds may change over time as adjustments occur.
2.6 Transfers and Timing
Transfers of Eligible Funds to Campaign Owners:
- occur after a required waiting period following Campaign completion;
- are subject to the absence of unresolved disputes or other blocking conditions; and
- may be delayed, paused, or adjusted based on system conditions or Payment Processor requirements.
PFP does not guarantee:
- that transfers will occur at a specific time;
- that all Eligible Funds will be transferred in a single transaction; or
- that transfers will not be delayed due to disputes, compliance reviews, or payment processing limitations.
Eligible Funds may be transferred:
- in one or more transactions; and
- over time, as funds become available.
2.7 Disputes, Chargebacks, and Adjustments
Donations may be subject to disputes or chargebacks initiated through the Payment Processor.
In the event of a dispute:
- the affected funds may be withheld, reversed, or removed from Eligible Funds; and
- transfers may be delayed or suspended until the dispute is resolved.
Disputes are handled through the Payment Processor and are subject to its rules and adjudication processes. PFP and its administrators may, in their discretion:
- respond to disputes;
- contest disputes; or
- concede disputes.
However, final dispute outcomes are determined in accordance with the Payment Processor’s procedures.
Even if a dispute is ultimately resolved in favor of a Campaign Owner, associated fees or costs may not be recoverable.
PFP is not liable for the outcome of any dispute, chargeback, or related process.
2.8 Recovery and Offset Rights
PFP reserves the right to:
- recover funds previously transferred to a Campaign Owner;
- offset future transfers; or
- withhold funds
in order to address:
- disputes or chargebacks;
- refunds;
- processing errors;
- violations of these Terms; or
- other financial obligations owed to PFP or the Payment Processor.
Campaign Owners agree to cooperate with PFP in resolving such matters, including repayment of amounts owed where applicable.
2.9 No Guarantee of Funds
PFP does not guarantee that any Campaign Owner will receive:
- a specific amount of funds; or
- any funds at all.
All transfers are subject to:
- the availability of Eligible Funds;
- compliance with these Terms; and
- the rules and processes of the Payment Processor.
3. Campaigns, User Responsibilities, and Prohibited Conduct
3.1 Campaign Owner Responsibilities
Campaign Owners are solely responsible for:
- the creation, content, and management of their Campaigns;
- the accuracy and completeness of all information provided;
- the use of funds received through Donations; and
- compliance with all applicable laws, regulations, and obligations.
Campaign Owners agree that:
- all Campaign descriptions must be truthful and not misleading;
- funds will be used substantially in accordance with the stated purpose of the Campaign; and
- they will not misrepresent their identity, affiliations, or intentions.
PFP does not verify the accuracy of Campaign content and makes no representations regarding any Campaign.
3.2 User Conduct
All Users agree to use the Platform in a lawful and responsible manner.
Users may not:
- engage in fraudulent, deceptive, or misleading activity;
- impersonate any person or entity;
- submit false or inaccurate information;
- use the Platform for any illegal purpose;
- interfere with or disrupt the operation of the Platform; or
- attempt to bypass security measures or access restricted areas.
3.3 Prohibited Campaigns and Uses
The following activities are strictly prohibited:
- raising funds for illegal activities;
- promoting violence, harassment, or hate;
- exploiting or misleading Donors;
- creating Campaigns that are false, deceptive, or lack a legitimate purpose; or
- using funds in a manner materially inconsistent with the Campaign description.
PFP reserves the right to determine, in its sole discretion, whether a Campaign or activity violates these Terms.
3.4 Enforcement and Platform Rights
PFP reserves the right to take any action it deems appropriate in response to violations of these Terms, including:
- removing or modifying Campaign content;
- suspending or terminating user accounts;
- blocking access to the Platform;
- withholding or delaying transfers of funds; or
- reporting activity to law enforcement or regulatory authorities.
Such actions may be taken without prior notice where necessary to protect the Platform, its users, or third parties.
3.5 Cooperation and Investigations
Users agree to cooperate with PFP in connection with any investigation into potential violations of these Terms.
This may include:
- providing requested information or documentation; and
- responding to inquiries related to Campaign activity or fund usage.
Failure to cooperate may result in suspension or termination of access to the Platform and may affect the release of funds.
3.6 Campaign Removal and Suspension
PFP may remove or suspend any Campaign at any time if it:
- violates these Terms;
- presents a risk to Donors or the Platform;
- is subject to legal or regulatory concerns; or
- is otherwise deemed inappropriate.
Removal or suspension of a Campaign may result in:
- loss of visibility on the Platform;
- interruption or cancellation of Donations; or
- delays or withholding of transfers.
3.7 No Monitoring Obligation
PFP is not obligated to:
- monitor Campaigns or User activity;
- verify the accuracy of content; or
- investigate all reported issues.
However, PFP reserves the right to monitor and review activity at its discretion.
4. Accounts, Access, and Termination
4.1 Account Access
Access to the Platform may be restricted.
At launch, PFP operates on an invitation-only basis, meaning:
- users may only create accounts through a valid invitation issued by PFP;
- invitations may be limited, revoked, or expire at any time; and
- PFP reserves the right to approve or deny access to any individual.
PFP may, at its discretion, modify access requirements in the future, including enabling or disabling public account registration.
4.2 Account Registration and Security
Users who create an account agree to:
- provide accurate and complete information;
- maintain the confidentiality of their login credentials; and
- promptly notify PFP of any unauthorized access or security breach.
Users are responsible for all activity that occurs under their account.
PFP is not liable for any loss or damage arising from unauthorized account access resulting from a User’s failure to maintain account security.
4.3 Platform Controls
PFP reserves the right to control the availability and functionality of the Platform at all times.
This includes the ability to:
- enable or disable user registration;
- enable or disable Campaign creation;
- enable or disable Donations; and
- restrict or limit access to specific features or services.
These controls may be applied:
- globally;
- to specific users or groups of users; and
- at any time, with or without notice.
4.4 Account Suspension and Termination
PFP may suspend or terminate a User’s account at any time, with or without notice, if:
- the User violates these Terms;
- the User engages in fraudulent, illegal, or harmful activity;
- the User’s activity presents a risk to the Platform or other users;
- required by law, regulation, or Payment Processor requirements; or
- for any other reason deemed appropriate by PFP.
4.5 Effect of Suspension or Termination
If a User’s account is suspended or terminated:
- access to the Platform may be restricted or revoked;
- active Campaigns may be removed or disabled;
- pending or future Donations may be blocked; and
- transfers of funds may be delayed, withheld, or subject to review.
Termination does not relieve the User of any obligations under these Terms, including financial obligations or cooperation requirements.
4.6 User-Initiated Deactivation
Users may request to deactivate their account.
However:
- deactivation does not affect completed transactions;
- PFP may retain account information as required for legal, financial, or operational purposes; and
- certain obligations, including those related to payments, disputes, and investigations, will survive account closure.
4.7 No Guarantee of Availability
PFP does not guarantee that the Platform, or any part of it, will be:
- available at all times;
- uninterrupted or error-free; or
- free from delays or outages.
PFP may modify, suspend, or discontinue any aspect of the Platform at any time.
5. Transfers, Payouts, and Payment Processing
5.1 Role of Payment Processor
All payments, transfers, and payouts on the Platform are processed through a third-party Payment Processor, including Stripe.
By using the Platform, Users acknowledge and agree that:
- PFP does not process payments directly;
- PFP does not hold or store funds on behalf of Users; and
- all funds are held and managed by the Payment Processor in accordance with its terms and policies.
Users may be required to create or maintain an account with the Payment Processor in order to receive funds.
5.2 Campaign Completion and Waiting Period
Transfers of Eligible Funds are initiated only after a Campaign is completed.
Upon completion:
- the Campaign stops accepting new Donations; and
- a review and processing period begins.
PFP requires a waiting period (typically five (5) days) following Campaign completion before Eligible Funds may be transferred.
This waiting period exists to allow for:
- payment processing finalization;
- detection of fraud or irregular activity; and
- the identification of disputes or reversals.
PFP reserves the right to extend or modify this waiting period where necessary.
5.3 Eligibility for Transfer
Only Eligible Funds may be transferred to a Campaign Owner.
Eligibility is determined at the time of transfer and may be affected by:
- unresolved disputes or chargebacks;
- refunds or reversals;
- payment processing status;
- compliance or risk review; or
- any other factor affecting fund availability.
The amount of Eligible Funds is not fixed and may change over time.
5.4 Disputes, Chargebacks, and Blocking of Transfers
Donations may be subject to disputes or chargebacks initiated through the Payment Processor.
In the event of a dispute:
- the affected funds may be withheld, reversed, or removed from Eligible Funds;
- automatic transfer of funds may be blocked or delayed; and
- transfers may be limited to only the portion of funds that remains eligible.
While a dispute is active:
- PFP may delay transfers entirely; or
- PFP may permit transfer of only the portion of funds that is not subject to dispute or otherwise ineligible.
Disputes are handled through the Payment Processor and are subject to its rules and adjudication processes. PFP and its administrators may, in their discretion:
- respond to disputes;
- contest disputes; or
- concede disputes.
However, final dispute outcomes are determined in accordance with the Payment Processor’s procedures.
PFP is not liable for the outcome of any dispute, chargeback, or related process.
5.5 Transfer Execution
Transfers of Eligible Funds:
- are initiated by PFP through the Payment Processor; and
- may occur automatically or, in certain cases, be initiated or adjusted manually.
Transfers:
- may occur in one or more transactions;
- may be executed over time as funds become eligible; and
- may be partially completed if only a portion of funds is eligible.
PFP does not guarantee that all Eligible Funds will be transferred in a single transaction or at a single point in time.
5.6 Payouts to Bank Accounts
After a transfer is completed to a Campaign Owner’s connected account:
- the Payment Processor is responsible for issuing Payouts to the Campaign Owner’s bank account.
Payouts:
- are controlled entirely by the Payment Processor;
- may follow a schedule determined by the Payment Processor; and
- may be subject to delays, reviews, or processing constraints.
PFP does not control or guarantee:
- when a Payout will be initiated;
- when funds will arrive in a bank account; or
- whether multiple Payouts will occur.
5.7 Delays and Processing Limitations
Transfers and Payouts may be delayed due to:
- disputes or chargebacks;
- fraud or risk reviews;
- compliance or regulatory requirements;
- Payment Processor limitations or outages;
- insufficient available balance within the payment system; or
- other operational constraints.
PFP is not responsible for delays caused by the Payment Processor or external systems.
5.8 No Guarantee of Transfer or Payout Timing
PFP does not guarantee:
- that transfers will occur within a specific timeframe;
- that payouts will occur within a specific timeframe; or
- that funds will be received by a Campaign Owner by a particular date.
All timing is subject to:
- system conditions;
- eligibility of funds; and
- the processes of the Payment Processor.
5.9 Multiple Transfers and Payouts
Campaign Owners acknowledge that:
- funds from a single Campaign may be transferred in multiple transfers;
- funds may be paid out in multiple payouts over time; and
- additional funds may become eligible after initial transfers are completed.
5.10 No Circumvention
Users may not attempt to:
- bypass the Platform’s payment systems;
- collect payments outside of the Platform for Campaigns listed on PFP; or
- interfere with payment processing or transfer workflows.
Violation of this section may result in account suspension, termination, and potential withholding of funds.
6. Limitation of Liability and Disclaimers
6.1 No Warranty
The Platform is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, PFP disclaims all warranties of any kind, whether express or implied, including but not limited to:
- merchantability;
- fitness for a particular purpose;
- non-infringement; and
- accuracy, reliability, or completeness of content.
PFP does not warrant that:
- the Platform will be uninterrupted, secure, or error-free;
- defects will be corrected; or
- the Platform or its servers are free of harmful components.
6.2 No Guarantee of Campaign Outcomes
PFP makes no representations or guarantees regarding:
- the success of any Campaign;
- the amount of funds raised;
- the amount of funds ultimately transferred to a Campaign Owner; or
- the use of funds by Campaign Owners.
All participation in Campaigns is at the User’s own risk.
6.3 No Responsibility for User Conduct
PFP is not responsible for:
- the actions, omissions, or conduct of any User;
- the accuracy of Campaign content;
- the use or misuse of funds by Campaign Owners; or
- disputes between Users.
Users interact with one another at their own risk.
6.4 Payment Processing Disclaimer
All financial transactions are processed through a third-party Payment Processor, including Stripe.
PFP is not responsible for:
- payment authorization or failure;
- delays in processing payments, transfers, or payouts;
- disputes, chargebacks, or reversals; or
- errors or outages of the Payment Processor.
6.5 Limitation of Liability
To the fullest extent permitted by law, PFP and its affiliates, officers, directors, employees, and agents shall not be liable for any:
- indirect, incidental, special, consequential, or punitive damages;
- loss of profits, revenue, data, or goodwill;
- loss of funds, anticipated donations, or expected payouts; or
- damages arising from delays, interruptions, or errors in the Platform.
This limitation applies regardless of the legal theory of liability, including contract, tort, negligence, or otherwise, even if PFP has been advised of the possibility of such damages.
6.6 Maximum Liability
To the fullest extent permitted by law, PFP’s total liability to any User for any claim arising out of or relating to these Terms or the use of the Platform shall not exceed:
- the total Platform Fees paid to PFP by that User in the twelve (12) months preceding the event giving rise to the claim.
If no Platform Fees were paid, PFP’s total liability shall not exceed a nominal amount permitted by law.
6.7 External Factors
PFP is not responsible for delays, failures, or damages resulting from events beyond its reasonable control, including but not limited to:
- actions of the Payment Processor;
- banking system delays or failures;
- network outages or infrastructure failures;
- fraud, cyberattacks, or unauthorized access; or
- regulatory or legal actions.
6.8 Reliance on Platform
Users acknowledge that:
- the Platform is a facilitation service;
- PFP does not provide financial, legal, or investment advice; and
- any reliance on the Platform or its content is at the User’s own risk.
7. Indemnification
7.1 User Indemnification
To the fullest extent permitted by law, Users agree to defend, indemnify, and hold harmless PFP and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- the User’s use of the Platform;
- the User’s violation of these Terms;
- the User’s violation of any applicable law or regulation;
- any content, information, or materials submitted by the User;
- any Campaign created or managed by the User; or
- the receipt, use, or distribution of funds obtained through the Platform.
7.2 Campaign-Related Liability
Campaign Owners specifically agree to indemnify and hold PFP harmless from any claims arising out of or relating to:
- misrepresentation or inaccuracy in a Campaign;
- failure to use funds as described in a Campaign;
- disputes with Donors; or
- alleged fraud, misconduct, or misuse of funds.
7.3 Payment and Financial Claims
Users agree to indemnify and hold PFP harmless from any claims related to:
- payment processing, including actions taken by the Payment Processor;
- disputes, chargebacks, or reversals;
- transfers, payouts, or delays in the movement of funds; or
- any financial loss or damage arising from participation in a Campaign.
7.4 Cooperation
PFP reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification.
Users agree to:
- cooperate fully with PFP in the defense of any such claim; and
- not settle any claim without PFP’s prior written consent where such settlement would impose any obligation on PFP.
8. Content, Intellectual Property, and License
8.1 User Content Ownership
Users retain ownership of all content they submit, post, or display on the Platform, including:
- Campaign descriptions;
- images, videos, and other media; and
- comments, messages, and other materials.
PFP does not claim ownership of User content.
8.2 License to PFP
By submitting or posting content on the Platform, Users grant PFP a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to:
- use, reproduce, display, perform, distribute, and modify such content;
- make such content available to other users of the Platform; and
- use such content in connection with operating, improving, and promoting the Platform.
This license includes the right to use Campaign content:
- in marketing and promotional materials;
- in social media, advertising, and public communications; and
- in connection with showcasing the Platform or its users.
This license continues for as long as the content is available on the Platform and for a reasonable period thereafter for archival, legal, or promotional purposes.
8.3 User Representations
Users represent and warrant that:
- they own or have the necessary rights to all content they submit;
- their content does not violate any third-party rights, including intellectual property, privacy, or publicity rights; and
- their content complies with all applicable laws and these Terms.
8.4 Content Removal
PFP reserves the right to:
- remove, modify, or restrict access to any content at its discretion; and
- remove content that violates these Terms or applicable law.
PFP is not obligated to retain or provide copies of User content.
8.5 Platform Content
All content and materials provided by PFP, including but not limited to:
- the Platform design, layout, and interface;
- logos, trademarks, and branding; and
- software, code, and functionality;
are owned by or licensed to PFP and are protected by applicable intellectual property laws.
Users may not:
- copy, reproduce, distribute, or create derivative works from Platform content;
- reverse engineer or attempt to extract source code; or
- use PFP branding without prior written permission.
8.6 Feedback
If Users provide feedback, suggestions, or ideas to PFP:
- PFP may use such feedback without restriction; and
- no compensation or attribution is required.
9. Privacy and Data Use
9.1 Privacy
PFP collects, uses, and processes personal information in connection with the operation of the Platform.
By using the Platform, Users acknowledge and agree that:
- PFP may collect and use information provided by Users in order to operate, maintain, and improve the Platform;
- information may be used to facilitate transactions, provide support, and communicate with Users; and
- information may be shared with third-party service providers, including payment processors such as Stripe, as necessary to provide the Platform’s services.
9.2 Data Use
PFP may use data collected through the Platform for purposes including:
- operating and maintaining the Platform;
- processing transactions and facilitating payments;
- improving features, performance, and user experience; and
- ensuring security, preventing fraud, and enforcing these Terms.
9.3 Future Privacy Policy
PFP may provide a separate Privacy Policy that further describes how personal information is collected, used, and protected.
Users acknowledge that such a Privacy Policy, if provided, will form part of the overall terms governing use of the Platform.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms and any dispute arising out of or relating to the Platform or these Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.
10.2 Jurisdiction and Venue
Users agree that any legal action or proceeding arising out of or relating to these Terms or the use of the Platform shall be brought exclusively in the state or federal courts located within the Commonwealth of Pennsylvania.
Users hereby:
- consent to the personal jurisdiction of such courts; and
- waive any objection to venue or claims that such courts are an inconvenient forum.
10.3 Informal Resolution
Before initiating any legal proceeding, Users agree to make a good faith effort to resolve any dispute by contacting PFP and providing a written description of the issue.
PFP will make reasonable efforts to respond and attempt to resolve the dispute in a timely manner.
11. General Terms
11.1 Changes to Terms
PFP reserves the right to modify or update these Terms at any time.
If changes are made:
- the updated Terms will be posted on the Platform; and
- the “Last Updated” date may be revised accordingly.
Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
11.2 Entire Agreement
These Terms constitute the entire agreement between Users and PFP regarding the use of the Platform and supersede any prior agreements, understandings, or communications relating to the subject matter herein.
11.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable:
- the remaining provisions shall remain in full force and effect; and
- the invalid provision shall be modified to the minimum extent necessary to make it enforceable, where permitted by law.
11.4 Waiver
The failure of PFP to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Any waiver must be in writing and signed by an authorized representative of PFP.
11.5 Assignment
Users may not assign or transfer their rights or obligations under these Terms without prior written consent from PFP.
PFP may assign or transfer its rights and obligations under these Terms at any time without restriction.
11.6 Survival
Any provisions of these Terms that, by their nature, should survive termination shall survive, including but not limited to:
- fees and payment obligations;
- dispute-related provisions;
- limitation of liability;
- indemnification; and
- intellectual property rights.
